The Corporate Affairs Commission (CAC) has commenced an investigation into the membership, ownership and management of Dorman Long Engineering Company Limited, RC 744.

The commission disclosed this in a statement via its X handle on Tuesday, September 8, 2026, saying the company’s file had been placed under caveat and classified as under investigation.

According to the CAC, the investigation is being conducted pursuant to its powers under sections 8(1)(c), 358(2) and 369(1) and (2) of the Companies and Allied Matters Act (CAMA), 2020.

The commission said the decision followed disputes involving contending parties in the company, despite its directive that the status quo be maintained pending the outcome of the investigation and related court proceedings.

It expressed concern that the parties had allegedly engaged in activities capable of undermining its regulatory authority and interfering with ongoing court actions in suits No. FHC/LAG/CS/1203/2026 and No. FHC/ABJ/PET/17/2026.

The CAC advised all parties involved to desist from actions that could amount to self-help while the court cases remain pending.

“Parties are by this publication advised to desist from actions that could be construed as self-help in the face of pending court actions,” the commission said.

It warned that it would not recognise any changes made in defiance of its regulatory directive or the pending lawsuits.

“They are to note that the Commission will not recognize changes made in contempt of regulatory directive or pending lawsuits,” the statement added.

The commission also directed the parties to cooperate with the team of inspectors appointed to investigate the company under the relevant provisions of CAMA 2020.

It urged the contending parties to allow the judicial processes to run their course and said the final outcome would be implemented.
